Compliance promotion structure

SHIONOGI promotes compliance through measures centered on those of the Compliance Committee, which is chaired by the Representative Director. The Compliance Department functions as the bureau of the committee.

To further enhance the assurance of compliance of which SHIONOGI's broad definition does not mean only compliance with laws and regulations but also requires ethical behavior, the Company established the SHIONOGI Group Compliance Policy in April 2012. The Company engages in the following types of activities aimed at promoting outstanding compliance consciousness and compliance performance among all employees.

    We have established Kansho Compliance Committees chaired by each Supervisory Unit, Senior Vice President and President in Group Company acting as "Compliance Representatives" and Vice President acting as "Compliance Promoters." These committees plan and implement compliance activities appropriate to the circumstances of each department or unit, and improvement measures to ensure thorough compliance.

    Besides drafting compliance program proposals, the Bureau of the Compliance Committee provides support for promotion activities of the entire SHIONOGI Group. It implements compliance education for executives and all SHIONOGI Group employees, deploys messages and reminders regarding compliance, conduct employee surveys, and feedback the survey results internally.

    SHIONOGI has established an internal reporting system comprising an internal reporting desk in the Compliance Department, and an external reporting desk through outside legal counsel. The Company makes efforts to ensure this system is well-known and used, and works to contribute to the early discovery as well as the prevention and amelioration of compliance violations utilizing the system.

    SHIONOGI has established an information management system based on its Information Security Policy and employs this system to manage information assets. Concerning the protection of personal information, the Company has established a standing committee headed by the General Manager of the Legal Affairs Department that takes various measures to assure the appropriate usage of and to prevent leakage of personal information, including implementation of the Company's privacy policy, disclosing the scope of personal information usage objectives, establishing a dedicated consulting line to handle personal information related questions and complaints, and helping employees who handle personal information to participate in educational programs.

Compliance promotion initiatives

The Compliance Committee meets four times a year to report on and debate compliance-related matters, also preparing reports for the twice- yearly Board of Directors meetings. In addition, the Vice President, who is the Compliance Promoter, is implementing a compliance PDCA (plan-do-check-act) cycle tailored to each department. Through these activities, SHIONOGI aims to achieve company-wide adherence to compliance principles.

To identify and address compliance issues, we also conduct regular compliance surveys among directors and employees in SHIONOGI Group. These surveys provide insight into the understanding and permeation of compliance. We aim to reflect the results in compliance activities within each organization mentioned above, and strive to solve issues including corporate culture.

At SHIONOGI, the Compliance Committee chairman expounds on the importance of compliance. We also provide rank-specific training for Corporate Officers, Senior Vice Presidents, Group Company Presidents, and Vice Presidents. In addition, we offer ongoing and periodic training for all employees on subjects such as information security, pharmaceutical safety, harassment, and bribery, while seeking to promote the cultivation of compliance awareness and understanding.
